1About these terms

These Terms of Service govern access to and use of WATSLI: the website at watsli.com, the company app at app.watsli.com, and related services (the "Services"). WATSLI is operated by The A Media Studio LLC, a company in the State of Qatar ("WATSLI", "we", "us").

They apply to the business that has an account ("Tenant", "you") and to each person who signs in for it ("Team Member"). By using the Services you agree to these Terms and to our Privacy Policy, which is part of them. If you accept for a company, you confirm you have the authority to bind it. If you do not agree, do not use the Services.

In these Terms: "Tenant" means the business that has an account; "Team Member" or "User" means a person who signs in for a Tenant; "Messaging Provider" means Meta (WhatsApp Cloud API) or Twilio, through which a Tenant's WhatsApp number is connected; "End-Customer" means a person the Tenant communicates with through the Services; "Template" means a WhatsApp message template that a Tenant creates in WATSLI and that Meta approves; and "Privacy Policy" means the policy published at https://watsli.com/en/privacy.

2What WATSLI provides

WATSLI is a shared WhatsApp workspace. A company number is connected through Meta's official WhatsApp Cloud API or, where we agree to it for a Tenant, through Twilio. Not every Tenant uses both. We do not promise that a number will work with WATSLI at the same time as another WhatsApp provider or solution, because that depends on Meta's rules and on the other provider. Today the Services include:

  • a shared inbox with assignment, closing and reopening, quick replies, notes and media messages,
  • message templates: create them, submit them to Meta for approval, and send approved templates from the inbox, including outside the 24-hour reply window,
  • contacts with CSV and Excel import, export, tags, types, sources and stages,
  • a sales pipeline with deal names and values,
  • keyword-based automatic replies,
  • a dashboard, a direct chat link and QR code, and tracked ad links,
  • team roles: company admin, supervisor and agent.

The app is available in Arabic and English. Approved template messages are part of the Services. Features we describe as "coming soon", such as bulk campaigns, are not part of the Services until we release them. Meta decides whether a template is approved, and its category and pricing. We may add, change or retire features. We will give reasonable notice of a change that removes a core feature you rely on.

3Accounts and access

3.1 Account setup. Tenant accounts are created by an authorized WATSLI platform administrator. Team Members are invited using their work email addresses and must set their own passwords through a secure, time-limited invitation process. Tenant must provide accurate registration information and keep it up to date. WATSLI will not require Team Members to disclose their passwords to WATSLI staff.

3.2 Eligibility. Tenant must be a lawfully operating business with authority to enter this agreement and to use WhatsApp for commercial messaging where it operates.

3.3 Roles. Tenant decides who joins and in what role. Tenant is responsible for everything done under its account, including by former Team Members whose access it did not remove.

3.4 Credentials. Keep passwords confidential and do not share a login. Each person has one active sign-in at a time. Tell us promptly at hello@watsli.com if you suspect unauthorised access.

3.5 Seats. Each plan includes a number of Team Member seats, for example 3 on Starter. You cannot exceed the seats on your plan.

4Your WhatsApp account and Meta

4.1 Tenant uses its own WhatsApp Business number and WhatsApp Business Account. We connect them to WATSLI. We do not own them. Tenant is responsible for its own Meta business verification and for keeping its connection details correct. The Tenant is responsible for configuring and maintaining its own payment method and billing arrangements with Meta for its connected WhatsApp messaging account. WATSLI does not act as the billing party for Meta's messaging charges.

4.2 Meta is not a party to these Terms. Your use of WhatsApp is also governed by Meta's terms and policies, including the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service and the Meta Business Tools Terms, as Meta updates them. You must read and follow them.

4.3 Meta decides messaging limits, quality ratings and any restriction, suspension or ban of a number or account. We cannot override those decisions.

4.4 The 24-hour reply window. WhatsApp lets a business send a normal (free-form) message only within 24 hours of the customer's last message. The window is about permission to reply. It does not decide whether Meta charges for a message, and a message sent inside the window may still be charged under Meta's pricing (see section 6.5). WATSLI enforces the window: once it closes, a normal message cannot be sent, and automatic replies are sent only inside the window. Outside the window a Tenant can send only an approved Template.

4.5 Ownership and disconnection. Tenant keeps ownership and administrative control of its WhatsApp Business number and its WhatsApp Business Account, subject to Meta's terms. Tenant may disconnect its WhatsApp integration from WATSLI at any time, as follows:

  • (a) A company administrator requests the disconnection in the app. Tenant can first export its messages (as CSV, text only, without media files) and its contacts (as CSV). WATSLI does not offer a self-service export of media files.
  • (b) A Tenant may request disconnection of its WhatsApp integration regardless of any outstanding WATSLI subscription invoices. Disconnection does not cancel any valid amounts owed to WATSLI, which may be collected separately in accordance with these Terms and applicable law.
  • (c) Upon receiving and verifying an authorized disconnection request, WATSLI will stop processing new outgoing messages through the affected integration and complete the technical disconnection as soon as reasonably practicable, and ordinarily within 24 hours.
  • (d) WATSLI will revoke or remove only the permissions, subscriptions and credentials associated with its own integration, to the extent technically supported. WATSLI will take reasonable care not to disrupt other solution providers or Meta services connected to the same WhatsApp account.
  • (e) WATSLI will send confirmation to the Tenant's registered contact email after completing the disconnection. Disconnection does not automatically delete information already stored in WATSLI, which remains subject to Section 7.4 and the Privacy Policy.
  • (f) The Tenant may also remove WATSLI's access directly through its Meta Business settings, subject to Meta's available controls. WATSLI will provide reasonable assistance with this process.

5Acceptable use

5.1 Responsibility. Tenant is responsible for the messages, notes, automatic replies and contact lists it uses in WATSLI. We do not review them in advance.

5.2 Consent and lawful contact. Use WATSLI to talk with customers who have contacted you, or who have given valid consent that Meta's policies and the law accept. Do not import or message lists that were bought, rented or scraped. You must be able to show how consent was obtained if we or Meta ask.

5.3 Do not use WATSLI to send or promote:

  • anything illegal, counterfeit or stolen,
  • adult content or sexual services,
  • hate, harassment or threats of violence,
  • weapons, ammunition or explosives, and illegal drugs,
  • gambling, alcohol or tobacco where restricted by law or Meta's policy,
  • scams, phishing, malware or misleading claims,
  • unsolicited marketing, or anything that recipients would reasonably treat as spam.

5.4 Opt-outs. Respect requests to stop messaging, and do not contact a person who has opted out unless the law allows it.

5.5 Other rules. Do not interfere with the Services, probe or bypass their security, access another company's data, use bots to scrape them, or resell or sublicense them. Do not reverse engineer them except where the law allows.

5.6 Restricted businesses. Do not use WATSLI for any business that Meta prohibits or restricts on the WhatsApp Business Platform.

5.7 Law. Follow all laws that apply to your messaging, marketing, consumer protection and data protection where your customers are located, including Qatar.

5.8 Our enforcement. One company's breach can put every customer's access to WhatsApp at risk. We may investigate suspected breaches and ask for evidence of consent. We may restrict or suspend messaging immediately and without notice only for fraud, a security threat, unlawful activity, or a violation of WhatsApp or Meta policy, and we may cooperate with Meta. For repeated or serious breaches, we may terminate after notice and, where practical, a chance to fix the problem.

6Fees and payment

6.1 Fees are those on your plan or order confirmation, in Qatari riyals (QAR) unless agreed otherwise. Published prices marked "starting from" are indicative and a confirmed quote applies.

6.2 WATSLI subscription and service fees are invoiced separately from any charges imposed by Meta or another messaging provider. The Tenant shall pay WATSLI invoices using the payment method specified on the invoice, within the stated payment period, or within 30 days of the invoice date if no period is specified. WATSLI does not currently accept card payments directly within the application.

6.3 If a WATSLI subscription or service invoice remains unpaid after its due date, WATSLI may suspend the affected paid Services after providing written notice and at least seven days to remedy the non-payment. Any late-payment charges must be expressly agreed and permitted under applicable law. WATSLI does not suspend messaging based on Meta billing balances, which are managed independently by Meta.

6.4 Fees do not include taxes or duties, which you pay, except tax on our net income. Plan changes apply to future invoices as agreed. Fees already paid are not refundable except where the law requires or we agree in writing. For clarity, WATSLI's fees do not include Meta's WhatsApp messaging charges, which are paid separately by the Tenant directly to Meta.

6.5 WhatsApp Business Platform charges

WhatsApp Business Platform messaging charges are separate from WATSLI's subscription and service fees.

The Tenant is solely responsible for paying all messaging charges imposed by Meta directly through its own WhatsApp messaging account and the payment method associated with that account.

WATSLI does not collect, process, advance, reimburse, resell or add any markup or commission to Meta's messaging charges.

Meta independently determines its messaging rates, applicable message categories, billing rules, discounts, free allowances and payment requirements. Such rates and rules may change without notice from WATSLI.

Any questions, disputes, payment failures or adjustments relating to Meta's messaging charges must be addressed through Meta's applicable billing and support channels.

WATSLI may display messaging activity, delivery information and technical usage statistics where available, but these records do not constitute an invoice for Meta's messaging charges.

If the Tenant's Meta messaging account is restricted or suspended due to payment issues, WATSLI is not responsible for the resulting interruption of WhatsApp messaging services.

Where WATSLI supports another messaging provider, such as Twilio, the applicable third-party charges and direct billing arrangements must be separately agreed before that integration is activated.

7Your data

7.1 Ownership. As between us, Tenant owns its company account data and its customer conversation data. We own the Services and the software behind them, other than your data.

7.2 Our use. Tenant authorizes WATSLI to host, store, process, transmit and display Tenant data only as reasonably necessary to provide, maintain, secure and support the Services, and in accordance with the Privacy Policy and applicable data processing instructions.

WATSLI may use aggregated or properly de-identified operational information to analyze service performance and improve the Services, provided that such information cannot reasonably identify individual End-Customers or reveal confidential Tenant conversations.

WATSLI will not use identifiable End-Customer conversation content to train AI or machine-learning models, market to End-Customers, or create profiles across Tenants without a separate lawful basis and any required authorization.

7.3 Data protection responsibilities. Tenant is responsible for ensuring that it has a lawful basis to collect, import and use End-Customer personal data and to send messages through the Services.

For End-Customer conversation data, Tenant generally acts as the data controller and WATSLI acts as a data processor, processing such information on Tenant's documented instructions, subject to applicable law.

The parties will maintain an appropriate Data Processing Addendum covering processing purposes, security measures, subprocessors, confidentiality, data subject requests, breach notification, international transfers and deletion or return of data. The Data Processing Addendum forms part of the contractual arrangements governing the relevant processing.

7.4 Export, retention and deletion. Tenant administrators may export supported categories of Tenant data using the export tools available in the Services. Currently, these include contacts and message text in CSV format. Self-service export of media files is not currently available.

Retention settings, including applicable periods and the events from which those periods are calculated, are disclosed in the Services and the Privacy Policy. Where supported, Tenant may configure retention within the limits made available by WATSLI. A Tenant administrator can also request earlier deletion from inside the app (Settings, Data deletion), as described at https://watsli.com/en/data-deletion.

On termination, WATSLI will provide a reasonable opportunity for the Tenant to export available data, subject to security, legal and contractual requirements. Data will then be deleted or anonymized in accordance with the applicable retention schedule, valid deletion requests and mandatory legal retention requirements.

Deletion from active systems does not necessarily result in immediate removal from encrypted backup copies. Backup retention and deletion are governed by the Privacy Policy. Data retained solely for mandatory legal compliance, security or an active dispute will be restricted to the necessary purpose and period.

7.5 Feedback. We may use suggestions you give us without restriction or payment.

8Availability and support

We work to keep WATSLI available and to support you, but we do not promise a specific uptime or service level. The Services depend on Meta's WhatsApp platform and on hosting providers outside our control, and we are not responsible for their outages or changes. We may carry out maintenance and will try to give notice of planned maintenance that is likely to cause significant downtime.

9Intellectual property

We keep all rights in WATSLI, including the software, design, documentation and the WATSLI name and logo. You get a limited, non-exclusive, non-transferable right to use the Services under these Terms. You keep your rights in your own brand and data. We will not name you as a customer without your written consent.

10Confidentiality

Each party will protect the other's non-public information with at least reasonable care, and use it only to perform or exercise rights under this agreement. This does not cover information that is public through no fault of the receiver, was already known to it, was independently developed, or must be disclosed by law (with prompt notice where permitted). These duties last for three years after termination, and for as long as a trade secret remains a trade secret.

11Term and termination

11.1 This agreement starts when your account is created and continues for the term of your plan, renewing as agreed.

11.2 Either party may end it for convenience with 30 days' written notice.

11.3 Either party may terminate this agreement by written notice if the other party materially breaches it and fails to remedy the breach within 15 days after receiving notice. Suspension for unpaid WATSLI subscription or service invoices shall follow the notice procedure in Section 6.3. Immediate suspension may occur only in the circumstances described in Sections 5.8 and 11.4, including fraud, security threats, unlawful activity or violations of applicable WhatsApp or Meta policies.

Any suspension or restriction imposed directly by Meta in relation to the Tenant's messaging account, including for non-payment of Meta charges, is governed by Meta's own terms and billing arrangements.

11.4 We may suspend access immediately for fraud, a security threat, unlawful activity, or a violation of WhatsApp or Meta policy, where needed to protect the Services, other Tenants, End-Customers, or our compliance with Meta or the law. We will try to tell you why and how to resolve it.

11.5 When the agreement ends, your access ends and sections 4.5 and 7.4 apply. Sections 4.5, 5, 7, 9, 10, 11.5, 12 to 14 and 16 survive.

12Disclaimers

TO THE MAXIMUM EXTENT THE LAW ALLOWS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT META WILL KEEP ANY MESSAGING LIMIT OR QUALITY RATING OR AVOID RESTRICTING YOUR NUMBER OR ACCOUNT. WATSLI REDUCES RISK BY USING META'S OFFICIAL API AND ENFORCING THE 24-HOUR WINDOW, BUT IT CANNOT GUARANTEE THAT A NUMBER WILL NEVER BE RESTRICTED. WE ARE NOT LIABLE FOR LOSS CAUSED BY META'S DECISIONS ABOUT YOUR NUMBER OR ACCOUNT. NOTHING HERE EXCLUDES A WARRANTY THAT THE LAW DOES NOT ALLOW US TO EXCLUDE.

13Limitation of liability

13.1 Excluded damages. To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, consequential or punitive damages, or for loss of anticipated profits, revenue or business opportunities, arising from the Services or these Terms. This exclusion does not prevent recovery of direct losses where recovery is required by applicable law.

13.2 General liability cap. Subject to Sections 13.3 and 13.4, WATSLI's total aggregate liability arising out of or relating to these Terms, whether in contract, tort or otherwise, shall not exceed the greater of:

  • (a) the subscription and service fees paid or payable to WATSLI by the affected Tenant during the twelve months immediately preceding the event giving rise to the claim; or
  • (b) QAR 1,000.

Third-party WhatsApp messaging charges, pass-through payments, taxes and other amounts collected solely on behalf of third parties shall not be treated as WATSLI subscription or service fees when calculating this cap.

13.3 Enhanced liability cap. For claims arising from WATSLI's breach of its confidentiality obligations, WATSLI's material failure to comply with its contractual data security obligations, or WATSLI's intellectual property indemnification obligations under Section 14, WATSLI's total aggregate liability shall not exceed the greater of:

  • (a) twice the subscription and service fees paid or payable to WATSLI by the affected Tenant during the twelve months immediately preceding the event giving rise to the claim; or
  • (b) QAR 5,000.

The enhanced cap replaces, rather than adds to, the general cap for the applicable claims. Multiple claims arising from the same or related events shall not create multiple separate liability caps.

13.4 Exceptions. Nothing in these Terms limits or excludes liability for fraud, gross negligence, willful misconduct or any other liability that cannot lawfully be limited or excluded under applicable law.

13.5 Third-party services. WATSLI is not responsible for independent decisions made by Meta or other third-party providers, including account restrictions, messaging limits and platform outages, except to the extent that WATSLI's own breach, gross negligence, willful misconduct or other legally actionable conduct contributes to the loss.

13.6 Payment obligations. The limitations of WATSLI's liability do not relieve the Tenant of its obligation to pay valid outstanding fees, charges or other amounts due under these Terms.

14Indemnity

Tenant indemnification. Tenant shall defend, indemnify and hold WATSLI harmless from third-party claims, damages, liabilities and reasonable legal expenses arising from Tenant's unlawful or unauthorized messages, failure to obtain required consent, infringement of third-party rights through Tenant-provided content, or material violation of the Acceptable Use provisions of these Terms, to the extent caused by Tenant's acts or omissions.

WATSLI intellectual property indemnification. Subject to Section 13, WATSLI shall defend and indemnify Tenant against third-party claims alleging that the Services, as supplied by WATSLI and used in accordance with these Terms, directly infringe that third party's intellectual property rights. This obligation does not extend to claims arising from Tenant data, unauthorized modifications, use contrary to WATSLI's instructions, or combinations with third-party products not supplied or approved by WATSLI.

If such a claim occurs, WATSLI may, at its expense and discretion, obtain the right for Tenant to continue using the affected Services, modify or replace the affected functionality with materially equivalent non-infringing functionality, or terminate the affected Services and refund any prepaid subscription fees attributable to the unused portion of the terminated Services.

WATSLI's monetary indemnification obligations under this Section are subject to the enhanced liability cap in Section 13.3, except where applicable law prohibits that limitation.

The party seeking protection must tell the other promptly, let it control the defence and settlement with reasonable help, and not settle in a way that admits fault for the other without its consent.

15Changes to these terms

We may update these Terms. For material changes we will give at least 30 days' notice, for example by email to your account contact or in the app, before they take effect. If you do not accept a material change you may end the agreement under section 11.2 before it takes effect. Using the Services after the change takes effect means you accept it.

16Governing law and disputes

These Terms are governed by the laws of the State of Qatar. The parties will first try in good faith to resolve a dispute through their representatives. If that fails, the competent courts of the State of Qatar sitting in Doha have exclusive jurisdiction.

17General

  • Assignment. You may not assign these Terms without our written consent. We may assign them in a merger, reorganisation or sale of our business if the assignee accepts them.
  • Independent parties. Nothing here creates a partnership, agency or employment relationship.
  • Events beyond control. Neither party is liable for delay caused by events beyond its reasonable control, including outages or policy changes at Meta or at our hosting providers. This does not excuse payment.
  • Notices. Notices to us go to hello@watsli.com. Notices to you go to your account contact.
  • Severability and waiver. If a term is unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it.
  • Entire agreement. These Terms, your plan or order confirmation and the Privacy Policy are the whole agreement on the Services.
  • Language. These Terms are written in English. Any Arabic translation is for convenience, and the English version prevails if they differ, unless the law requires otherwise.
  • Compliance. Each party will follow applicable export control, anti-corruption and sanctions laws.
  • Billing and data disputes. A Tenant may raise a good-faith dispute concerning messaging charges, account access or data handling by contacting hello@watsli.com. The parties shall cooperate reasonably to review relevant records and resolve the matter. Nothing in this provision restricts either party's rights under applicable law or prevents a data subject from exercising statutory privacy rights.
